Job Description/Responsibilities
Responsible for overseeing legal compliance, providing counsel on corporate legal matters, acting as the Company Secretary to ensure governance standards, and serving as an Executive Assistant to the Founder and Group CEO. 1. Legal Advisory and Compliance: ● Provide legal counsel to the Group and its subsidiaries on corporate, commercial, and regulatory matters. ● Draft, review, and negotiate contracts, agreements, and other legal documents. ● Ensure compliance with local, national, and international laws and regulations affecting the Group's operations. ● Represent the Group in legal proceedings and liaise with external legal counsel when necessary. ● Manage intellectual property rights, including trademarks, patents, and copyrights. 2. Corporate Governance (Company Secretary): ● Ensure the Group and subsidiaries comply with statutory and regulatory requirements. ● Organize and attend board meetings, prepare agendas, and document accurate meeting minutes. ● Maintain statutory books, including registers of members, directors, and secretaries. ● File necessary returns and resolutions with relevant regulatory authorities. ● Advise the Board and management on governance best practices and fiduciary responsibilities. 3. Executive Support to the Founder and Group CEO: ● Provide high-level administrative support to the Founder and Group CEO, including managing schedules, correspondence, and meeting preparations. ● Serve as a point of contact for internal and external stakeholders on behalf of the Founder and Group CEO. ● Coordinate strategic initiatives and ensure follow-through on CEO directives and projects. ● Prepare presentations, reports, and other documentation as required. 4. Strategic and Operational Support: ● Assist in the development and execution of strategic plans, ensuring alignment with legal and governance frameworks. ● Collaborate with the leadership team to manage risks and seize opportunities within the agri-food and technology sectors. ● Oversee corporate structuring and restructuring processes to support growth and scalability. 5. Risk Management: ● Identify and mitigate legal and governance risks across the Group and its subsidiaries. ● Implement and monitor policies and procedures to minimize risks related to operations and compliance. ● Conduct legal and governance training for employees and management where necessary.
Job Requirements
● Bachelor’s Degree in Law (LL.B) and admission to practice law (Barrister & Solicitor of the Supreme Court of Nigeria or equivalent jurisdiction). ● Additional certification in Corporate Governance, Compliance, or related fields is an advantage. ● MBA or advanced degree in Business Administration is a plus ● A minimum of 7-10 years of experience in legal advisory, corporate governance, and executive support roles. ● Experience in a dynamic corporate environment, preferably within the agri-tech, agribusiness, or technology sectors. ● Proven track record in managing legal risks and ensuring corporate compliance.
